| Details: | “The Basics of Buying and Selling Distressed Loans and Assets.” This course will provide a general overview and current status of the commercial real estate finance market and the different types of commercial real estate financing structures, including, basic bank loans, syndicated loans, loan participations, commercial mortgage backed securities loans (“CMBS”), subordinate loans (“A/B Loans”) and mezzanine financing. An analysis of the different types of loan documents involved in these types of financing structures as well as the “real world” issues associated with different loan structures will be presented (including, use of third party guaranties, judicial vs. non-judicial foreclosures, intercreditor agreements, one action rules and other remedies). Notable recent transactions include: representing the senior lenders on the $650 million construction financing for the Ritz Carlton and JW Marriott Hotel at LA Live across from Staples Center in Los Angeles; representing a private equity fund in the acquisition of a portfolio of 45 assisted living facilities; and the representation of a foreign bank in the workout of a $120 million dollar loan secured by an office building located in a central business district.
